How to Register a Private Limited Company in Nepal: Complete Guide

Introduction to Company Registration in Nepal

Registering a company is the foundational step for any business venture in Nepal. For most private businesses, registering as a Private Limited (Pvt. Ltd.) company under the Companies Act 2063 is the most suitable and legally secure route.

Step 1: Reservation of Company Name

The first step is to choose a unique company name and submit a name reservation request online through the Office of Company Registrar (OCR) portal. The name should reflect your business activity and must not clash with existing registered names.

Step 2: Preparation of Legal Documents

Once your name is approved, you must draft essential corporate legal documents, including:

  • Memorandum of Association (MoA / प्रबन्धपत्र): Defines the company’s objectives, capital structure, and shareholder liabilities.
  • Articles of Association (AoA / नियमावली): Establishes internal management regulations, voting rules, and director roles.

Step 3: Submission and Payment at OCR

Submit the signed MoA, AoA, citizenship copies of shareholders, and witness details online. Pay the registration government fee based on your authorized capital.

Step 4: Getting the Registration Certificate

OCR reviews the documents. Once verified, they issue the official Certificate of Incorporation. You are then legally ready to set up your office, open a bank account, and proceed with Tax/PAN registration.
